PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY AND COMPLETELY AS THEY AFFECT YOUR OBLIGATIONS AND LEGAL RIGHTS, INCLUDING, BUT NOT LIMITED TO WAIVERS OF RIGHTS AND LIMITATION OF LIABILITY. YOU (PARTICIPANT) UNDERSTAND AND AGREE THAT BY TAKING PART IN THE JEWELLERY MASTERPIECE AWARDS CONTEST YOU WILL BE BOUND BY THESE TERMS AND CONDITIONS.
These Terms and Conditions (hereinafter "Terms and Conditions" or "Agreement") govern general terms of your participation in the Jewellery Masterpiece Awards (hereinafter "Contest") and your use of the Jewellery Masterpiece Awards website (maintained at thejewellerymasterpieceawards.com, hereinafter "Website"). These Terms and Conditions is an agreement between you or the entity that you represent (hereinafter the "Participant", "User" or "You") and Contest Administration (hereinafter the "Administration", "Website Owner" "We", "Us" or "Our"). The Participant and the Administration are herein referred to individually as a "Party" and collectively, as the "Parties".
IN THIS AGREEMENT THE FOLLOWING WORDS AND COMBINATIONS OF WORDS ARE USED AT SUCH SENSE (MEANING):
"Contest" or the "Jewellery Masterpiece Awards" – are a set of awards given annually to honor excellence and artistry in the jewellery world. The "Jewellery Masterpiece Awards" held in the form of a contest, basic rules of which are determined in Section 3. of These Terms and Conditions.
"Administration" ("Contest Administration" "Website Owner" "We", "Us" or "Our") shall mean sole entrepreneur Pfaifer Olena Antonivna registered under the laws of the Republic of Ukraine. The Administration is the organizer of the Contest. The Administration could transfer certain rights and/or obligations of the organizer of the Contest to third parties.
"Participant" (also referred to as "You" or "User") shall mean a person, who takes participation in the Jewellery Masterpiece Awards.
"Website" – shall mean a website maintained at thejewellerymasterpieceawards.com The Website is intended to inform the Participants of the Contest, to implement Our advertising purposes and to help Us receive participants fees (administration fees).
"Website visitor" or the "Visitor" – any person, who visited, took a look at least at one page of the Website thejewellerymasterpieceawards.com.
"Accompanying Documents" shall mean other Contest Administration regulatory documents accompanying and detailing this Agreement, being inalienable part hereof and published on the Website. In case of any discrepancies between Accompanying Documents and this Agreement, the latter shall apply.

"Participant" (also referred to as "You" or "User") shall mean a person, who takes participation in the Jewellery Masterpiece Awards.
"Website" – shall mean a website maintained at thejewellerymasterpieceawards.com The Website is intended to inform the Participants of the Contest, to implement Our advertising purposes and to help Us receive participants fees (administration fees).

SECTION 1: GENERAL PROVISIONS
1.1. These Terms and Conditions, including any and all Accompanying Documents (PRIVACY POLICY etc.), constitute a legally binding agreement between the Administration and any and all Participants and Visitors. Accompanying Documents may be amended occasionally, the relevant version of specified agreements you will find on the Website maintained at thejewellerymasterpieceawards.com. THE PARTICIPANT HAS READ, UNDERSTOOD AND AGREED TO THOSE ACCOMPANYING DOCUMENTS.
1.2. These Terms and Conditions are effective at the time the Visitor begins using the Website and/or Participant taking in participation in the Contest. It is hereby understood and presumed by you, that by the fact of the Website use and/or taking participation in the Contest, you should fully read, understood and irrevocably accepted this Agreement. IF YOU DO NOT AGREE WITH THIS AGREEMENT, YOU MUST NOT TAKE PARTICIPATION IN THE CONTEST AND/OR ACCESS OR USE THE WEBSITE.
1.3. The Participant acknowledges and accepts that this Agreement is subject to change, modifications, amendments, alterations or supplements at any time without prior written notice, at Website Owner's sole discretion. The Participant`s continued participation in the Contest after any amendments or alterations of this Agreement shall constitute the Participant's consent hereto and acceptance hereof.
1.4. By taking participation in the Contest each Participant covenants, represents, and warrants that (under the Republic of Ukraine legislation (hereinafter "Applicable law") and law of the country of Participant's residence): 1) he (she) is of an age of majority to enter into this Agreement (at least 18 years of age), meets all other eligibility and residency requirements, and is fully able and legally competent to take participation in the Contest; 2) he (she) has the full capacity to contract, under Applicable law and law of the country of Participant's residence, with the Website Owner and in doing so will not violate any other agreement to which he (she) is a party; 3) he (she) is not a citizen or resident (fiscal resident or other resident) of the jurisdictions, which participation is restricted according to domestic legislation of his (her) jurisdiction of residence.
1.5. IF YOU CANNOT COMPLY WITH THE REQUIREMENTS (OBLIGATIONS) OF THE PARAGRAPH 1.4. OF THESE TERMS AND CONDITIONS YOU SHALL NOT TAKE PARTICIPATION IN THE CONTEST.

SECTION 3: BASIC RULES OF THE PARTICIPATION IN THE CONTEST
3.1. YOU SHOULD CAREFULLY AND COMPLETELY READ ALL THE TERMS REGARDING THE PARTICIPATION IN THE CONTEST.
3.2. HOW TO TAKE PART IN THE CONTEST?
3.2.1. YOU COULD TAKE PART IN THE CONTEST, APPLYING WITH:
1. A FINISHED PIECE OF JEWELLERY (FOR INDIVIDUALS / COMPANIES);
2. A 3D JEWELLERY DESIGN (FOR INDIVIDUALS / COMPANIES);
3. AN ARTICLE. (FOR INDIVIDUALS).
3.2.1.1. To participate in the Contest, the Participant should pay an Administration fee (Participants' fee). The amount of the Administration fee is determined in the manner prescribed by clause 3.6.1. of these Terms and Conditions.
3.2.2. To take part in the Contest with a "finished piece of jewellery" you should:
1. Create an original, one-of-a-kind piece of jewellery.
2. Take two high-resolution images (showing views from different perspectives, indicating sizes, different materials, and techniques).
3. Take a video, a maximum of 60 seconds long (a close-up of the jewellery piece clearly showing a detailed view of the piece, focusing on unique features: different materials, techniques and other details).
4. Take a video, a maximum of 60 seconds long (demonstration of the piece on a model interacting with the jewellery).
5. Make 3 Instagram posts. One post containing all the photos and 2 separate video posts.
6. Each post description should include:
7. Click 'Register Now' and fill out the entry form.
8. Upload the links to the Instagram posts. Three (3) links are required. One link to the post containing all the photos and 2 links to video posts.
9. You could optionally add Instagram links to the: conceptual photos, initial sketches, images, commercials, conceptual video, short feature or advertisement of the product, etc.
10. Click Submit.
11. You will receive an invoice within 24 hours. You must pay the invoice within 5 days of receipt. After payment is received, your entry will be published within 5 days on the jewellery_masterpiece_awards Instagram page and Jewellery Masterpiece Awards Facebook page.
3.2.3. To take part in the Contest with a "3D jewellery design" you should:
1. Create an original 3D design of a jewellery piece that stands out. Required:
• Two high resolution shots or renderings of the work preferably on white background. (showing views from different perspectives or different materials, colors or configuration options)
• 3D Rotation View of the work maximum 60 seconds (focusing on unique features).
2. Make 2 Instagram posts: a post containing all photos and a post containing video.
3. Each post description should include:

5. Upload the links to the Instagram posts. Two (2) links are required: first link to the post containing all photos and second link to a video post.
6. You could optionally add to your application Instagram links to other photos and videos.

3.2.4. To take part in the Contest with an article:
1. The article must have been published in print or online and currently available to read online.
2. Make an Instagram post, uploading a screenshot of your article.
3. In the post description include:

5. Upload the link to the article to read online and the link to the Instagram post and submit.
There is a limit of one entry per author.
Please note: your Instagram account must be public to submit an entry.
3.3 ALL PARTICIPANTS`WORKS SHOULD:
3.4. There are no limits to the number of entries to the Jewellery Masterpiece Awards per person. You could make an application for more than one work. Each work is considered as a separate entry and is paid for separately. The application for each subsequent work requires filing of a new registration form. (except for Excellence in Jewellery Writing category, for which there is a limit of one entry per author, and it is free of charge).
3.5. All Participants should take care of the accuracy of the information provided for the Contest and consider the fact that such information will be used publicly. Please note: your Instagram account must be public to submit an entry.
3.6. Organizational contributions (Participants` fee) are accepted by the Administration, details on payments of fee (contributions) are published on the Website. Prizes to the winning Participants are paid by the Administration and/or Administration contractors.
3.6.1. The amount of the Administration fee (Participants` fee) depends on the category of the application for participation in the Contest and the type (name) of the award for which the Participant of the Contest applies, in particular:
3.7. All the Participants` works are posted on the Instagram page @Jewellery_Masterpiece_Awards. Selected works are also posted on the @Jewellery_Masterpiece page and selectively on our Facebook accounts. The works of the Contest winners will be posted on our Instagram pages and on the Website.
3.8. By submitting an entry to the Contest, you accept that the decision of the judges as to the winners of the Contest will be final and no correspondence or discussion will be entered into with respect to this decision.
3.9. In case of detection of any irregularity in the conditions of entry, the participant may be disqualified and his (her) application may not be considered. By submitting a work to the Contest, the Participant fully and unconditionally accepts these rules and other terms of this Agreement. Violations of these rules may be grounds for disqualifying the Participant, in which case his or her work (application) will be withdrawn from the competition.
3.10. The Contest winner, the Contest finalists and any Participants declare on their honour that the work they submit is original and that it does not violate or infringe trademarks, copyrights, design or model, or any other industrial and/or intellectual property rights, or any third party rights, including images and/or videos.
3.11. The Contest winner, the Contest finalists and any Participants also declare that they have not licensed, assigned nor transferred the ownership over the intellectual property rights regarding photos of the Participants` artworks and/or other content, nor the material title/property of the work entered in the Contest, in whole or in part to any third party from its creation until the end of the Contest.
3.12. Also Contest winner, the Contest finalists and any Participants expressly declare and guarantee that their works and information entered in the Contest fully meets the stipulations of current legislation on the rights to honour, personal and family privacy and reputation, protection of personal data, as well as industrial and intellectual property and any other regulations that may apply.
3.13. START AND END DATE OF THE CONTEST:
3.13.1. Terms, specified in paragraph 3.13. of this Agreement, could be changed by the Administration unilaterally by amending These Terms and Conditions.
3.14. The Contest provides an opportunity for participants to compete for 7 cash awards:
Five cash awards for a "finished piece of jewellery":
1. True Innovation - US$20,000
2. Masterpiece Design - US$20,000
3. Extraordinary High Jewellery - US$20,000
4. Royal Indian Bride - US$20,000
5. Wind of Change - US$9,000
A cash award for a "3D jewellery design":
Tomorrow's Masterpiece – US$6,000
A cash award for "jewellery writing":
Excellence in Jewellery Writing - US$5,000
3.11. The winning Participant has the right to refuse to receive the prize.
3.12. The winning Participant should, at his (her) own expense, provide the Administration with the necessary documents, as well as comply with all legal formalities, necessary to receive the prize. All and any possible taxes (Participant`s tax obligations) are also paid by the winning Participant.

7. Click 'Register Now' and fill out the entry form.

- Include an "About Me" paragraph;
- Tag @Jewellery_Masterpiece_Awards and @Jewellery_Masterpiece
- Put #JewelleryMasterpieceAwards hashtag;
4. Click 'Register Now' and fill out the entry form.
5. Upload the link to the article to read online and the link to the Instagram post and submit.
There is a limit of one entry per author.

- The Administration fee (Participants` fee) to apply for Wind of Change is $450 USD;
- The Administration fee (Participants` fee) to apply for Tomorrow's Masterpiece is $300 USD;
- The application for Excellence in Jewellery Writing is free of charge.
3.7. All the Participants` works are posted on the Instagram page @Jewellery_Masterpiece_Awards. Selected works are also posted on the @Jewellery_Masterpiece page and selectively on our Facebook accounts. The works of the Contest winners will be posted on our Instagram pages and on the Website.
3.8. By submitting an entry to the Contest, you accept that the decision of the judges as to the winners of the Contest will be final and no correspondence or discussion will be entered into with respect to this decision.

- the Contest end date – September 30, 2021;
- Date of announcement of the results of the Contest – by Novermber 18, 2021.
3.13.1. Terms, specified in paragraph 3.13. of this Agreement, could be changed by the Administration unilaterally by amending These Terms and Conditions.
3.14. The Contest provides an opportunity for participants to compete for 7 cash awards:

3.11. The winning Participant has the right to refuse to receive the prize.

SUBSECTION 3-A: ANNOUNCEMENT OF THE RESULTS OF THE CONTEST
3-A.1. Official announcement of the results of the Contest will be made via the Website and @Jewellery_Masterpiece_Awards Instagram page. The Date of the announcement of the results is indicated in paragraph 3.13. of these Terms and Conditions.
3-A.2. The results of the Contest are determined based on opinions of judgers. The composition of judges is determined by the Administration.
3-A.1. Official announcement of the results of the Contest will be made via the Website and @Jewellery_Masterpiece_Awards Instagram page. The Date of the announcement of the results is indicated in paragraph 3.13. of these Terms and Conditions.
3-A.2. The results of the Contest are determined based on opinions of judgers. The composition of judges is determined by the Administration.

4.1. The Website and its pages may contain links to third-party websites and/or services. Such links are provided for User's convenience. However, their presence does not mean that they are recommended by the Administration and the Administration does not guarantee their safety and conformity with any Participant and/or Visitor expectations. The Administration is not responsible for the content of any sites that may be linked to or from the Website or any bulletin board associated with us or the Website. Unless otherwise noted, any other website accessed from the Website is independent from us, and we have no control over the content of that other website. In addition, a link to any other website does not imply that we endorse or accept any responsibility for the content or use of such other website. SECTION 5: INDEMNIFICATION
5.1. To the fullest extent permitted by applicable law, the Participant releases the Administration from responsibility, liability, claims, demands, and/or damages of every kind and nature, known and unknown (including, but not limited to, claims of negligence), arising out of or related to disputes between Participant and the acts or omissions of third parties.
5.2. Participant shall not have any claim of any nature whatsoever against the Administration for any failure by the Administration to carry out any of our obligations under this Agreement as a result of causes beyond our control, including but not limited to any strike, lockout, shortage of labor or materials, delays in transport, accidents of any kind, any default or delay by any sub-contractor or supplier of ours, riot, political or civil disturbances, the elements, by an act of state or government including regulatory action imposed, any delay in securing any permit, consent or approval required by the Administration, for the supply of products (services) under this Agreement or any other authority or any other cause whatsoever beyond our absolute and direct control.
5.1. SECTION 6: DISCLAIMERS AND LIMITATIONS OF LIABILITY
6.1. The Administration does not make and expressly disclaims all representations and warranties, express, implied or statutory.
6.2. The Website is provided on an "AS IS," "as available" basis. We do not warrant that your use of the Website will be uninterrupted or error-free. We do not warrant the accuracy, integrity, or completeness of the content provided on the Website. You expressly agree that your access to, viewing of, browsing, visiting or use of the Website is at your sole risk.
6.3. Under no circumstances shall we be liable for any direct, indirect, incidental, special, or consequential damages that result from the use of or inability to use the Website and/or to take participation in the Contest, including but not limited to reliance by a user on any information obtained at the Website, or that result from mistakes, omissions, interruptions, deletion of files or e-mail, errors, defects, viruses, delays in operation or transmission, or any failure of performance, whether or not resulting from acts of God, communications failure, theft, destruction or unauthorized access to our records, programs or services. The foregoing limitation of liability shall apply whether in an action at law, including but not limited to contract, negligence, or other tortious action; or an action in equity, even if one of our authorized representatives have been advised of or should have knowledge of the possibility of such damages. You hereby acknowledge that this paragraph shall apply to all content, merchandise and services available through the Website.
6.4. Your participation in the Contest may not lead to the expected (desired) result. Participation in the Contest involves the risks described in this Agreement, which should be taken into account prior your participation in the Contest.

SECTION 7: INTELLECTUAL PROPERTY RIGHTS
7.1. You acknowledge that the Website contains information, data, software, photographs, graphs, videos, typefaces, graphics, sounds and other material (collectively "Content") that are protected by copyrights, trademarks, trade secrets, rights in databases and/or other proprietary rights, and that these rights are valid and protected in all forms, media and technologies existing now or hereinafter developed.
7.2. All Our Content is copyrighted. You may not modify, remove, delete, augment, add to, publish, transmit, participate in the transfer or sale of, create derivative works from or adaptations of, or in any way exploit any of the Content, in whole or in part. If no specific restrictions are displayed, you may make copies of select portions of the Content, provided that the copies are made only for your personal use and that you maintain any notices contained in the Content, such as all copyright notices, trademark legends, or other proprietary rights notices.
7.3. In order to demonstrate the artwork and achievements of the Participants of the Contest, as well as to organize and conduct the Contest, the Participants provide the Administration with a limited license for the images of their work (achievements) in the field of jewellery art and other content demonstrated by the Participants during the Contest. Among other rights, Participants grant the Administration the right to post photos (videos, articles and other content) of the Participants' artwork on social networks and on the Website.
7.1. Among other rights, Participants grant the Administration the right to post photos (videos, articles and other content) of the Participants' artwork on social networks and on the Website.
SECTION 8: APPLICABLE LAW AND DISPUTE RESOLUTION
8.1. The Participant and the Administration shall cooperate in good faith to resolve any dispute, controversy or claim arising out of, relating to or in connection with this Agreement, including with respect to the formation, applicability, breach, termination, validity or enforceability thereof (hereinafter the "Dispute"). If the Parties are unable to resolve a Dispute within ninety (90) days of notice of such Dispute being received by all Parties, such Dispute shall be finally settled by Binding Arbitration as defined in Section 8.2 below.
8.2. Any Dispute not resolved within 90 days as set forth in Section 8.1 shall be referred to and finally resolved by authorized judicial authority of the Republic of Ukraine.
8.3. The governing law of the Agreement shall be as set forth in Section 10.1 herein. The Parties undertake to carry out any award without delay and waive their right to any form of recourse insofar as such waiver can validly be made.
8.4. Any dispute arising out of or related to this Agreement is personal to the Participant and the Administration and will not be brought as a class arbitration, class action or any other type of representative proceeding. There will be no class arbitration or arbitration in which an individual attempts to resolve a dispute as a representative of another individual or group of individuals. Further, a dispute cannot be brought as a class or other type of representative action, whether within or outside of arbitration, or on behalf of any other individual or group of individuals
8.1. The Participant and the Administration shall cooperate in good faith to resolve any dispute, controversy or claim arising out of, relating to or in connection with this Agreement, including with respect to the formation, applicability, breach, termination, validity or enforceability thereof (hereinafter the "Dispute"). If the Parties are unable to resolve a Dispute within ninety (90) days of notice of such Dispute being received by all Parties, such Dispute shall be finally settled by Binding Arbitration as defined in Section 8.2 below.
8.2. Any Dispute not resolved within 90 days as set forth in Section 8.1 shall be referred to and finally resolved by authorized judicial authority of the Republic of Ukraine.
8.3. The governing law of the Agreement shall be as set forth in Section 10.1 herein. The Parties undertake to carry out any award without delay and waive their right to any form of recourse insofar as such waiver can validly be made.
8.4. Any dispute arising out of or related to this Agreement is personal to the Participant and the Administration and will not be brought as a class arbitration, class action or any other type of representative proceeding. There will be no class arbitration or arbitration in which an individual attempts to resolve a dispute as a representative of another individual or group of individuals. Further, a dispute cannot be brought as a class or other type of representative action, whether within or outside of arbitration, or on behalf of any other individual or group of individuals
SECTION 9: TERMINATION OF AGREEMENT
9.1. Notwithstanding anything contained herein, we reserve the right, without notice and at our sole discretion, to terminate this Agreement or suspend your rights under this Agreement in case of your breach of this Agreement or if the Administration believes you have committed fraud, negligence or other misconduct.
9.2. You may terminate this Agreement without notice by discontinuing participation in the Contest and/or use of the Website. All rights granted to you under this Agreement will immediately be revoked upon our termination of this Agreement or our suspension of your rights under this Agreement. In this case Participant's fee (organizational fee) paid to take in participation in the Contest is not refundable.
9.3. The completion of the Contest and/or the fulfillment of the Parties' obligations are also the basis for the termination of this Agreement.
9.1. Notwithstanding anything contained herein, we reserve the right, without notice and at our sole discretion, to terminate this Agreement or suspend your rights under this Agreement in case of your breach of this Agreement or if the Administration believes you have committed fraud, negligence or other misconduct.
9.2. You may terminate this Agreement without notice by discontinuing participation in the Contest and/or use of the Website. All rights granted to you under this Agreement will immediately be revoked upon our termination of this Agreement or our suspension of your rights under this Agreement. In this case Participant's fee (organizational fee) paid to take in participation in the Contest is not refundable.
9.3. The completion of the Contest and/or the fulfillment of the Parties' obligations are also the basis for the termination of this Agreement.
SECTION 10: MISCELLANEOUS
10.1. These Terms and Conditions shall be governed by the laws of Ukraine.
10.2. The Participant shall not assign his (her) right under this Agreement without the prior written consent of the Administration. Any assignment or transfer in violation of this Section will be void. The Administration may assign this Agreement to an affiliate. Subject to the foregoing, this Agreement, and the rights and obligations of the Parties hereunder, will be binding upon and inure to the benefit of their respective successors, assigns, heirs, executors, administrators and legal representatives.
10.3. If any provision of these Terms and Conditions is determined by a court of competent jurisdiction to be invalid, inoperative or unenforceable for any reason, the provision shall be modified to make it valid and, to the extent possible, effectuate the original intent of the Parties as closely as possible in an acceptable manner in order that the transactions contemplated hereby be consummated as originally contemplated to the fullest extent possible.
10.4. We reserve the right to make changes to incorporated policies and these Terms and Conditions at any time. If any of these conditions shall be deemed invalid, void, or for any reason unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any remaining condition. The Administration may modify these Terms and Conditions at any time by posting a revised version on the Website. The modified terms will become effective upon posting. It is the Participant's responsibility to check the Website regularly for modifications to these Terms and Conditions.
10.5. The failure by the Administration to exercise or enforce any right or provision of this Agreement will not constitute a present or future waiver of such right or provision nor limit the Administration's right to enforce such right or provision at a later time. All such waivers by the Administration must be unequivocal and in writing to be effective.
